Article 1 — Organizer

This event (the "Event" or the "Nations Cup") is organized by Meta Football League SAS ("MFL"), a French simplified joint stock company registered under number 922 200 266, with registered offices at 9 rue des Colonnes, 75002 Paris, France.

The Nations Cup is a one-off in-game event built to celebrate the FIFA World Cup 2026™ inside the MFL universe. It is not affiliated with, endorsed by, or sponsored by FIFA or any official World Cup organizer.


Article 2 — Event Period

The Event runs from June 2, 2026 to July 8, 2026 (the "Event Period"), with the Final and prize distribution taking place on or shortly after July 8, 2026.

MFL reserves the right to shorten, extend, suspend, or terminate the Event Period at any time, at its sole discretion, with or without prior notice. See Article 15 (Modification and Termination).


Article 3 — Description of the Event

The Nations Cup is a 48-nation in-game competition running alongside the real FIFA World Cup 2026™. Participation is structured around the following mechanics:

  • Shares: participants purchase shares in one or more nations. Shares grant a proportional cut of the prize pool, a vote in the nation's manager election, access to Fan Rally, and perks at certain milestones (Article 6).
  • Manager Election: shareholders elect each nation's manager, who builds the squad and makes all tactical decisions (Article 7).
  • Fan Rally: shareholders play PvP matches to earn Rally Points that can grant their nation an in-match OVR boost and rally rewards (Article 8).
  • Prize Pool: a guaranteed pool of $25,000+ in Dapper Balance, distributed across all competing nations based on how far each nation advances (Article 9).
  • Packs and Perks: special Nations Cup Packs and milestone perks unlock through the Event (Articles 6 and 9).

The detailed mechanics, dates, prize tables, and perk thresholds are described in the official Nations Cup guide published by MFL. In the event of any conflict between the guide and these Terms and Conditions, these Terms and Conditions prevail with respect to legal rights and obligations.


Article 4 — Eligibility

To participate in the Event and to be eligible for any reward, prize, or perk, participants must:

  • (a) Be at least 18 years of age;
  • (b) Hold a valid MFL account in good standing;
  • (c) Hold a single Dapper wallet linked to their MFL account;
  • (d) Have completed Dapper identity verification (KYC) prior to the issuance of any cash prize or reward;
  • (e) Not be in violation of MFL's Terms and Conditions (available at playmfl.com) or Dapper's Terms of Service.

Article 5 — One Account Per Person

Each participant may hold only one (1) MFL account and one (1) Dapper wallet. This is a requirement under both MFL's Terms and Conditions and Dapper's Terms of Service.

The use of multiple accounts to acquire additional shares, cast additional votes, multiply Fan Rally rewards, or otherwise gain any advantage in the Event is strictly prohibited.

Participants found to hold or operate multiple accounts will be excluded from the Event and forfeit all associated benefits as described in Article 12, and may have their accounts suspended or terminated in accordance with MFL's Terms and Conditions.


Article 6 — Shares

6.1 — Purchase

Shares are purchased at $0.99 per share (or the equivalent in $MFL), in packs of 1, 10, or 100, for the nation(s) of the participant's choice. A participant may hold a maximum of 2,500 shares in total across all nations.

6.2 — What Shares Grant

Each share grants its holder, for the nation in which it is held:

  • (a) A proportional cut of that nation's share of the prize pool, based on how far the nation advances;
  • (b) One vote in that nation's manager election (capped at 200 votes per nation);
  • (c) Access to Fan Rally for that nation;
  • (d) Eligibility for perks and badges at the applicable share milestones.

6.3 — Shares Are Non-Transferable and Cannot Be Resold

Shares are non-transferable participation rights. They cannot be sold, resold, transferred, gifted, traded, or listed — neither on the MFL Marketplace nor through any other channel, including but not limited to over-the-counter sales, third-party platforms, private arrangements, or any other means.

Any attempt to sell, resell, transfer, or otherwise dispose of shares to another person, by any means whatsoever, will result in the exclusion of the participant from the Event and forfeiture of all associated benefits (Article 12), and may further result in the suspension or termination of the participant's MFL account in accordance with MFL's Terms and Conditions.

6.4 — No Refund

The purchase price of shares is final and non-refundable, as set forth in Article 14.


Article 7 — Manager Election and Staff

7.1 — Voting

Each nation's manager is elected by its shareholders. One (1) share equals one (1) vote, capped at 200 votes per nation regardless of the number of shares held. Voting rules, soft-lock and hard-lock dates, and candidate eligibility (minimum 10 shares in the relevant nation) are as described in the official Nations Cup guide.

7.2 — One Staff Position

A participant may hold only one (1) staff position (including the role of manager) across all 48 nations at any time.

7.3 — Manager Conduct

Elected managers are responsible for building their nation's squad and making tactical decisions. Managers cannot claim the agent revenue share for their own called-up players. MFL reserves the right to remove a manager or staff member who is excluded from the Event under Article 12, who breaches these Terms and Conditions, or whose conduct MFL considers, at its sole discretion, abusive or detrimental to the Event.


Article 8 — Fan Rally

Fan Rally allows shareholders to earn Rally Points for the nation(s) they back by playing PvP matches with their agency squad, subject to the energy, scoring, and reward rules described in the official Nations Cup guide.

Any attempt to manipulate, exploit, or circumvent the Fan Rally mechanics — including but not limited to the use of multiple accounts, collusion between participants to inflate or distort Rally Points, match manipulation, or the use of automated tools or bots — is strictly prohibited and constitutes grounds for exclusion from the Event under Article 12 and forfeiture of any pending or issued rally rewards.


Article 9 — Prize Pool and Rewards

9.1 — Prize Pool

The Event features a guaranteed prize pool of $25,000+ in Dapper Balance. The pool remains at $25,000 until 25,000 shares are sold across all nations; beyond that threshold, each additional share adds $0.75 to the pool. Prizes are distributed across all competing nations according to how far each nation advances, as detailed in the official Nations Cup guide.

9.2 — Distribution

For each nation, 95% of that nation's prize is distributed to its shareholders proportionally to the shares they hold, and 5% is distributed to the agents (player owners) of players called up to the national squad, subject to the cap described in the official Nations Cup guide.

9.3 — Form of Payment

All Event prizes and cash rewards are paid in Dapper Balance (Article 10). Certain Fan Rally rewards are paid in $MFL as described in the official Nations Cup guide.

9.4 — Conditions of Payment

Payment of any prize or reward is conditional upon the participant meeting the eligibility criteria in Article 4 (including completed KYC) and not being excluded from the Event under Article 12. Prizes and rewards are issued to the Dapper wallet linked to the participant's MFL account.


Article 10 — Dapper Balance

Dapper Balance is a non-withdrawable balance held in the participant's Dapper wallet, equivalent to $1 USD per unit. Dapper Balance:

  • Can be used for any transaction within MFL, including purchasing packs from the MFL store and purchasing players or other items on the MFL Marketplace;
  • Cannot be withdrawn, transferred to another person, or converted to cash or any other currency;
  • Has no cash value outside of its use within MFL on the Dapper platform;
  • Is subject to Dapper's Terms of Service and platform rules.

No cash or alternative reward will be offered in lieu of Dapper Balance.


Article 11 — Prohibited Conduct

The following conduct is strictly prohibited and constitutes grounds for exclusion from the Event under Article 12 and forfeiture of any pending or issued prizes, rewards, or perks:

  • (a) Creating, using, or operating multiple MFL accounts or Dapper wallets in connection with the Event (Article 5);
  • (b) Selling, reselling, transferring, gifting, trading, or listing shares by any means, on the MFL Marketplace or any other channel (Article 6.3);
  • (c) Creating fake, temporary, or bot-operated accounts;
  • (d) Manipulating, exploiting, or circumventing the Fan Rally, voting, or prize mechanics, including the use of automated tools or bots (Article 8);
  • (e) Match manipulation or collusion affecting any Event outcome;
  • (f) Misrepresenting the Event to third parties (e.g., promising rewards not offered by MFL);
  • (g) Any attempt to manipulate, circumvent, or exploit any Event mechanism;
  • (h) Any conduct that MFL, at its sole discretion, considers fraudulent, abusive, or detrimental to the Event or its participants.

Article 12 — Exclusion from the Event

12.1 — Right to Exclude

MFL reserves the right, at its sole discretion and at any time, to exclude any participant from the Event, with or without prior notice and without obligation to justify its decision, where MFL has reason to believe that the participant has breached these Terms and Conditions, MFL's general Terms and Conditions, or Dapper's Terms of Service, or has otherwise engaged in conduct described in Article 11.

12.2 — Consequences of Exclusion

A participant excluded from the Event forfeits all benefits attached to their shares and to their participation, including but not limited to:

  • Any cut of the prize pool (no prize pool reward will be paid);
  • Any Fan Rally reward, whether pending or already attributed;
  • Any perk, badge, pack unlock, raffle entry, or other benefit;
  • Any voting right or staff position.

The purchase price of shares and packs already paid is not refunded upon exclusion. Forfeited prize pool amounts that would otherwise have been paid to an excluded participant may be redistributed or retained by MFL at its sole discretion.

12.3 — Account Action

Exclusion from the Event is without prejudice to any further action MFL may take under its general Terms and Conditions, including the suspension or termination of the participant's MFL account.


Article 13 — Fraud, Abuse, and Right to Refuse

13.1 — Right to Refuse

MFL reserves the right, at its sole discretion and without obligation to justify its decision, to:

  • Refuse to issue any prize, reward, or perk;
  • Revoke any previously issued prize, reward, or perk;
  • Disqualify or exclude any participant (Article 12);
  • Suspend or terminate any MFL account,

in the event of suspected fraud, abuse, or violation of these Terms and Conditions or MFL's general Terms and Conditions.

13.2 — Dapper Risk Review

Dapper independently reviews accounts for fraud and terms violations. Dapper may withhold credits from flagged accounts regardless of MFL's determination. MFL is not responsible for decisions made by Dapper's risk team.

13.3 — Final Decisions

All decisions made by MFL regarding eligibility, fraud determination, exclusion, and the issuance of prizes, rewards, and perks are final and binding. MFL is under no obligation to enter into correspondence regarding such decisions.


Article 14 — Purchase Finality

All purchases made in connection with the Event — including shares and Nations Cup Packs — are final and non-refundable, as set forth in MFL's Terms and Conditions (Section 15 — Right of Withdrawal). Because these are digital content delivered immediately upon purchase, the standard 14-day cooling-off period does not apply, meaning you cannot cancel or request a refund for a completed purchase.

Note: This applies only to purchase refunds. It does not affect your ability to manage or withdraw eligible funds from your account in accordance with the applicable platform rules.


Article 15 — Modification and Termination

MFL reserves the right, at any time and at its sole discretion, to adjust, modify, suspend, or terminate the Event in any way, including but not limited to:

  • Modifying these Terms and Conditions, the Event mechanics, the share price, the prize pool, the distribution rules, the eligibility criteria, the perks, the Fan Rally rules, the competition format, or the Event Period;
  • Adjusting fixtures, schedules, or results for operational, technical, or integrity reasons;
  • Suspending or terminating the Event in whole or in part.

Such adjustments, modifications, suspension, or termination may occur with or without prior notice. MFL will make reasonable efforts to communicate material changes to participants. Participation in the Event after any change constitutes acceptance of the change.


Article 16 — Nature of Shares — Not an Investment

Shares are in-game participation rights in an entertainment event. They are not securities, financial instruments, investments, or any form of equity, and they do not confer any ownership interest in MFL or in any underlying asset.

Purchasing shares does not constitute an investment and carries no expectation, promise, or guarantee of profit, return, or financial gain. Any prize or reward depends on sporting performance within the Event and on factors outside any participant's control, and is not guaranteed. A nation may be eliminated at any stage, and rewards vary accordingly.

Participants should only spend amounts they are comfortable spending on entertainment. Nothing in the Event or in these Terms and Conditions should be construed as financial, investment, or legal advice.


Article 17 — Limitation of Liability

MFL shall not be held liable for:

  • (a) Any technical failure, interruption, or malfunction of the MFL platform, the Dapper platform, or any underlying blockchain infrastructure;
  • (b) Delays in the issuance of prizes or rewards caused by Dapper, network congestion, KYC processing, or other circumstances beyond MFL's control;
  • (c) Loss of value of Dapper Balance, $MFL, or any assets purchased with such balance or currency;
  • (d) Any action taken by Dapper, including but not limited to account suspension, credit withholding, or KYC rejection;
  • (e) The outcome of any match, the elimination of any nation, or the decisions of any elected manager;
  • (f) Any consequences arising from the participant's failure to comply with these Terms and Conditions or MFL's general Terms and Conditions.

Article 18 — Personal Data

Participation in this Event may involve the processing of personal data. Such processing is governed by MFL's Privacy Policy, available on the platform. By participating, users consent to the processing of their personal data as necessary for the administration of the Event.


Article 19 — Relationship with MFL's General Terms and Conditions

This Event is subject to MFL's general Terms and Conditions (available at playmfl.com), which apply in full. In the event of any conflict between these Event Terms and Conditions and MFL's general Terms and Conditions, MFL's general Terms and Conditions shall prevail.

Participation in this Event constitutes full and unconditional acceptance of these Terms and Conditions.


Article 20 — Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with French law.

Any dispute arising out of or in connection with this Event shall be submitted to the exclusive jurisdiction of the courts of Paris, France, except where mandatory consumer protection laws provide otherwise.
